"PRODUCTS" - Refers collectively to all goods listed for sale on the Platform, including but not limited to: Snooker Tables, Pool Tables, Heyball Tables, Billiards Tables, Cues, Chalks, Tips, Cue Accessories, and Table Accessories. The complete product catalogue may be updated from time to time at the sole discretion of the Company.

"LARGE FORMAT ITEMS" - Refers specifically to Snooker Tables, Pool Tables, Billiards Tables, and Heyball Tables, being items requiring specialised freight, handling, and/or installation services due to their size, weight, and structural complexity.

"ORDER" - A confirmed request by a User to purchase one or more Products, evidenced by an order confirmation number issued by the Company via email or SMS.

"CONTRACT" - The legally binding agreement for the sale and purchase of Products, formed between the User and the Company upon the Company's written/electronic acceptance of the User's Order.

"LISTING PRICE" - The price displayed against each Product on the Platform at the time of purchase, inclusive of applicable GST unless expressly stated otherwise.

"GST" - Goods and Services Tax levied under the Central Goods and Services Tax Act, 2017, and corresponding State/Union Territory Acts, as applicable to the sale of sporting goods in India.

"FORCE MAJEURE EVENT" - Any event beyond the reasonable control of either party, including but not limited to acts of God, natural disasters, pandemic, war, government orders, strikes, or disruptions to logistics infrastructure.

"INTELLECTUAL PROPERTY" - All trademarks, service marks, trade names, logos, taglines, product designs, images, text, software, databases, and other proprietary content owned by or licensed to the Company.

"WORKING DAYS" - Monday through Saturday, excluding national public holidays as notified by the Government of India and State Governments, between the hours of 10:00 AM and 6:00 PM IST.

ACCEPTANCE OF TERMS

These Terms & Conditions, together with our Privacy Policy, Return, Refund & Cancellation Policy, Shipping & Delivery Policy, and Warranty Policy, constitute the entire agreement between You and the Company governing your use of this Platform and the purchase of Products. These documents are incorporated herein by reference and form a single integrated agreement.

Your use of this Website including browsing, registering an account, adding items to cart, or completing a purchase constitutes a clear, affirmative, and unambiguous acceptance of these Terms and all associated policies. This acceptance has full legal force under Section 10A of the Information Technology Act, 2000, which recognises click-wrap agreements as valid and enforceable electronic contracts in India.

The Company reserves the right to update, modify, or replace these Terms at any time. Where amendments are material, we will notify registered users via email at least 14 days prior to the changes taking effect. Continued use of the Platform after the effective date of revised Terms constitutes your acceptance of the changes.

ELIGIBILITY TO USE

To place an order or use the full features of this Platform, you must satisfy all of the following conditions:

  • You must be a natural person of eighteen (18) years of age or above, or a duly authorised representative of a validly constituted legal entity (company, partnership, LLP, or other registered body);
  • You must have the legal capacity and authority to enter into a binding contract under the Indian Contract Act, 1872. Persons of unsound mind, undischarged insolvents, or minors acting without parental/guardian consent are not eligible;
  • Where a minor (below 18 years) wishes to make a purchase, a parent or legal guardian must create an account, consent to the purchase, and be responsible for payment;
  • You must provide accurate, complete, and up-to-date information during registration and checkout. Any intentional misrepresentation of eligibility constitutes grounds for immediate account termination and may attract legal consequences;
  • You must not be a person or entity barred by any court of competent jurisdiction or regulatory authority from transacting on e-commerce platforms;
  • For business purchases (GST invoice required): your business must be a registered entity with a valid GSTIN. GST invoices will be issued only on verified GSTIN provided at the time of order.

The Company reserves the right to verify eligibility at any stage and to refuse or cancel orders where eligibility conditions are not satisfied, without liability.

ACCOUNT REGISTRATION & SECURITY

Certain features of the Platform, including order tracking, purchase history, and wishlist functionality, require you to register a user account. Guest checkout is available for single purchases but does not provide post-purchase account management features.

  • Accuracy of Information: You agree to provide your true legal name, a valid and accessible email address, a working mobile number, and accurate delivery address(es) during registration. The Company is not liable for failed deliveries or communication arising from incorrect information provided by you;
  • One Account Per Person: Each individual or entity may maintain only one active account. Operating multiple accounts for the purpose of exploiting promotional offers, circumventing restrictions, or evading account bans is strictly prohibited;
  • Credential Security: You are solely responsible for maintaining the confidentiality of your login credentials. You must not share your password with any third party. All activity conducted through your account is deemed to have been authorised by you unless you notify us immediately of any unauthorised access;
  • Reporting Breach: If you suspect any unauthorised use of your account, you must immediately notify our Customer Care at operations@apexsports.co.in. The Company shall not be liable for any loss arising from your failure to promptly report unauthorised access;
  • Account Termination by Company: We reserve the right to suspend, restrict, or permanently terminate any account at our sole discretion, without prior notice, if we have reason to believe the account is being used in violation of these Terms, applicable law, or in a manner harmful to other Users, third parties, or the Company. Any outstanding obligations, including pending payments, shall survive termination;
  • Account Termination by User: You may request deletion of your account by writing to marketing@apexsports.co.in. Account deletion is subject to settlement of any outstanding orders or disputes. Data deletion will be processed in accordance with our Privacy Policy and applicable provisions of the Digital Personal Data Protection Act, 2023.

In compliance with Rule 5(2) of the Consumer Protection (E-Commerce) Rules, 2020, all product listings on this Platform shall directly and accurately represent the actual product. Product descriptions, images, specifications, dimensions, and material details are provided to the best of our knowledge at the time of listing.

  • Colour Representation: Product colours displayed on screen are subject to variation based on your device's display settings, monitor calibration, and lighting conditions. Minor colour variations between the product image and the delivered item shall not constitute grounds for return, unless the variation is material and significantly different from the advertised colour;
  • Dimensions & Specifications: All dimensions (particularly for tables) are stated as manufacturer specifications. Allowable manufacturing tolerances of ± 5mm in linear dimensions apply and shall not be treated as a defect. Buyers are advised to measure installation spaces before ordering;
  • Stock Availability: Products are offered subject to availability. Display on the Platform does not guarantee stock. In the event of a confirmed order for an out-of-stock item, the Company will notify you within 48 Working Hours and offer either a substitute product, a waitlist option, or a full refund;
  • Product Updates: Manufacturers may modify product specifications, materials, or components without advance notice. The Company endeavours to keep listings current but shall not be liable for minor specification changes that do not materially affect the product's primary function;
  • Country of Origin: In compliance with Rule 4(2) of the Consumer Protection (E-Commerce) Rules, 2020 and the Legal Metrology (Packaged Commodities) Rules, 2011, the country of origin is disclosed on every product listing page. For imported products, the name and details of the authorised importer shall also be displayed;
  • Sport Advisory Content: Any content on the Platform regarding cue selection, cue tip hardness, table cloth specifications, or playing technique is provided for informational purposes only. It does not constitute professional coaching or certified sports advice and should not be relied upon as such.

PRICING, TAXES & GST

All prices displayed on this Platform are in Indian Rupees (INR / ₹). Prices are inclusive of applicable Goods and Services Tax (GST) unless expressly stated otherwise on the product listing page. A full price breakup including base price, GST component, and any additional charges such as freight or installation fees will be displayed at the checkout stage before you confirm your order.

  • GST Compliance: The Company is registered under the GST framework and collects and remits GST in accordance with the Central Goods and Services Tax Act, 2017 and applicable State/UT GST Acts. GST invoices will be issued for all valid purchases. For business buyers requiring GST input credit, a valid GSTIN must be provided before order confirmation. GSTIN cannot be added retroactively after invoice generation;
  • Price Changes: Prices are subject to change without prior notice. The price applicable to you shall be the price displayed on the Platform at the time you place your order and receive an order confirmation. Price changes after an order is confirmed shall not affect your transaction;
  • Pricing Errors: Despite our best efforts, pricing errors may occasionally occur. In the event that a product is listed at an incorrect price due to a typographical error or technical glitch, the Company reserves the right to cancel such orders and issue a full refund, even after order confirmation. You will be notified promptly and offered an opportunity to reorder at the correct price. This right is exercised reasonably and not as a mechanism to avoid legitimate sales;
  • Promotional Prices & Offers: Discounts, promotional codes, and sale prices are time-limited and subject to separate terms communicated at the time of the promotion. Promotional prices cannot be applied retroactively to past purchases. The Company does not engage in artificial price inflation followed by fictitious discounts, a practice prohibited under the Consumer Protection Act, 2019;
  • Freight & Installation Charges: For Large Format Items (Tables), freight and installation charges may apply over and above the product price. These charges will be calculated and disclosed at checkout based on the delivery pin code. No freight or installation charge will be levied without prior display and your affirmative consent at checkout;
  • International Customers: If you are purchasing from outside India, customs duties, import taxes, and other levies imposed by your country's authorities are entirely your responsibility. These charges are neither included in the Listing Price nor collected or remitted by the Company.

ORDERS & CONTRACT FORMATION

The process of placing an order on this Platform does not, by itself, constitute a binding contract of sale. A legally binding contract between You and the Company is formed only when the Company sends you a formal Order Confirmation via email and/or SMS to the contact details registered on your account, containing a unique Order ID.

  • Order as Offer: When you place an order by completing the checkout process and making payment, you are making an offer to purchase the selected Products. This offer is subject to acceptance by the Company and does not automatically create a binding purchase agreement;
  • Order Confirmation as Acceptance: The Company's dispatch of an Order Confirmation email constitutes our acceptance of your offer and the formation of the Contract. Until such confirmation is sent, the Company is not obligated to fulfil the order;
  • Grounds for Rejection: The Company may decline to process or cancel an order, even after payment, in the following circumstances: (i) the product is out of stock; (ii) a pricing error has occurred; (iii) the delivery location is outside our serviceable area; (iv) payment verification fails; (v) the order is placed in violation of these Terms; or (vi) the Company has reasonable grounds to suspect fraud. In all such cases, any amounts charged will be fully refunded within the timelines set out in our Refund Policy;
  • Bulk & Commercial Orders: Orders for multiple tables or bulk quantities of equipment for commercial use (clubs, academies, hotels, sports facilities) are subject to separate commercial terms. Please contact us at sales@apexsports.co.in before placing bulk orders. The Company reserves the right to treat orders exceeding [X units] in any single transaction as bulk orders requiring separate agreement;
  • No Automatic Consent: In compliance with Rule 4(9) of the Consumer Protection (E-Commerce) Rules, 2020, the Platform will not automatically record consent for any additional purchases, subscriptions, or upsells through pre-ticked checkboxes or default selections. Every purchase requires your affirmative action.

PAYMENT TERMS

The Company accepts payment through the following modes, facilitated via our PCI-DSS compliant payment gateway partner [Payment Gateway Name]:

  • Accepted Payment Methods: Credit Cards (Visa, Mastercard, RuPay, Amex), Debit Cards, Net Banking, UPI (GPay, PhonePe, Paytm UPI, BHIM), EMI (No-Cost & Standard subject to bank terms), and Pay-on-Delivery (available on select Products and pin codes at the Company's discretion);
  • Payment Security: The Company does not store any raw payment card data on its servers. All card data is processed and stored exclusively by our payment gateway in compliance with PCI-DSS standards. Your financial information is encrypted using industry-standard SSL/TLS protocols;
  • Payment at Checkout: Full payment is required at the time of placing the order for standard Products. For Large Format Items (Tables), partial advance payment arrangements may be offered at the Company's discretion and will be communicated clearly at checkout;
  • EMI Terms: EMI options are offered through our banking partners. The applicable interest rate, processing fee, and EMI schedule are determined by your bank. No-Cost EMI offers are subject to availability and the Company's current promotional terms. The Company is not responsible for any disputes arising between you and your bank regarding EMI processing;
  • Failed Payments: If a payment transaction fails or is declined, your order will not be confirmed. You may attempt payment again. In the rare case where payment is debited from your account but the order confirmation is not generated, please contact our support team immediately, such amounts are typically reversed by your bank within 5–7 Working Days;
  • Chargebacks: Filing a chargeback without first attempting resolution through our Grievance Redressal mechanism may be treated as a violation of these Terms. The Company reserves the right to suspend accounts with repeated or fraudulent chargeback filings;
  • Currency: All transactions are processed in Indian Rupees (INR). The Company is not responsible for any foreign exchange conversion charges levied by your bank for transactions in INR from foreign bank accounts.

SPECIAL TERMS FOR LARGE FORMAT ITEMS (TABLES)

Given the unique nature of Snooker Tables, Pool Tables, Billiards Tables, and Heyball Tables which are large, heavy, and precision instruments requiring professional handling the following additional terms specifically apply to all table purchases:

  • Pre-Purchase Site Assessment: Buyers are strongly advised to verify that the intended installation location meets the minimum space, flooring, and access requirements for the specific table model prior to placing an order. The Company provides space requirement guidelines on each table listing page. Failure to ensure adequate space does not entitle the buyer to a return;
  • Installation Services: Professional installation and levelling services are [available as a paid add-on at ₹[X] ]. Installation shall be carried out by the Company's authorised technicians or certified installation partners within the serviceable area. Installation timelines will be scheduled with you post-delivery;
  • Unboxing Video Requirement: We strongly recommend and for damage-in-transit claims, we require that you or your representative record an unboxing video at the time of delivery. Claims for transit damage without a contemporaneous unboxing video shall be assessed at the Company's discretion and may be rejected if damage cannot be independently verified. This requirement is reasonable industry practice for high-value freight items;
  • 48-Hour Inspection Period: Upon delivery of a table, you have a 48-hour inspection period to report visible structural defects, missing components, or transit damage. Reports made after 48 hours will be treated as post-delivery damage and assessed accordingly;
  • Access Requirements: You must ensure that the delivery location has adequate access doorway width, stairway clearance, elevator capacity, and floor load-bearing capacity suitable for the table's dimensions and weight. If the delivery team cannot complete delivery due to access restrictions that were not disclosed at the time of order, re-scheduling and access-related costs shall be borne by you;
  • Warranty Condition: For table warranties to be valid, installation must be performed by the Company's authorised technicians (where installation is offered). Tables installed by unqualified personnel are not covered under the manufacturer or brand warranty;
  • Cloth & Accessories: Table cloth (baize) is a consumable item subject to wear. Cloth warranty, if any, is separate from the structural table warranty and shall be specified in the Warranty Policy.

RETURNS, REFUNDS & CANCELLATIONS

INTELLECTUAL PROPERTY RIGHTS

All content on this Platform including but not limited to the brand name, trade name, logo, tagline, product photographs, descriptive text, graphics, icons, audio, video, data compilations, and software is the exclusive intellectual property of Apex Sports Promotion or is used under licence from its respective owners. All rights are reserved.

  • Permitted Personal Use: You may view, print, or download content from this Platform solely for your own personal, non-commercial use, provided you do not remove or alter any copyright, trademark, or other proprietary notices;
  • User-Generated Content: If you submit reviews, photographs, or testimonials on the Platform, you grant the Company a non-exclusive, royalty-free, perpetual, irrevocable licence to use, display, reproduce, and publish such content across its marketing channels. You represent that you own or have the right to submit such content;
  • Reporting Infringement: If you believe any content on this Platform infringes your intellectual property rights, please notify our designated IP contact at Isheta.batra@tbalaw.in with details of the infringing content and proof of your ownership.

PROHIBITED CONDUCT

The following activities are expressly prohibited on this Platform and constitute violations of these Terms, applicable Indian law, and/or the IT (Intermediary Guidelines) Rules, 2021:

  • Placing fraudulent orders, using stolen or unauthorised payment instruments, or providing false identity information;
  • Submitting false, misleading, or fabricated product reviews or ratings. The Company complies with the CCPA's Guidelines for Prevention and Regulation of Dark Patterns, 2023 fake reviews are a prohibited dark pattern;
  • Attempting to access, tamper with, or disrupt any server, database, or system underlying the Platform, including through SQL injection, denial-of-service attacks, or unauthorised scripting;
  • Automated scraping, crawling, or harvesting of product data, pricing information, or customer data from this Platform without express written consent;
  • Impersonating any person or entity, including Company employees, or misrepresenting your affiliation with any organisation;
  • Using this Platform to transmit spam, unsolicited communications, malware, or any harmful code;
  • Purchasing Products for the purpose of unauthorised commercial resale or arbitrage without the Company's written authorisation;
  • Using Platform content in any manner that disparages the Company, its brands, its employees, or its customers.

Violation of this Clause may result in immediate account termination, cancellation of pending orders, civil action for damages, and/or criminal complaints under the Information Technology Act, 2000 and the Indian Penal Code, 1860 (or Bharatiya Nyaya Sanhita, 2023, as applicable).

LIMITATION OF LIABILITY

  • General Cap: To the maximum extent permitted by applicable Indian law, the Company's total aggregate liability to you in connection with any single order or transaction shall not exceed the total order value actually paid by you for the Product(s) giving rise to the claim;
  • Excluded Damages: The Company shall not be liable for: (i) indirect, incidental, or consequential losses; (ii) loss of profit or anticipated savings; (iii) loss of business opportunity; (iv) damage to reputation not directly caused by our proven wrongdoing unless such exclusions are impermissible under applicable law;
  • Third-Party Services: The Company is not liable for failures, delays, or errors of third-party service providers including payment gateways, logistics partners, and installation contractors, except to the extent caused by our failure to exercise reasonable care in selecting or supervising such parties;
  • Force Majeure: The Company shall not be in breach of these Terms or liable for any delay or failure of performance caused by a Force Majeure Event. We will notify you promptly of any Force Majeure Event affecting your order and offer to reschedule or cancel and refund;
  • Consumer Rights Preserved: Nothing in this Clause 16 limits or excludes the Company's liability for: (i) death or personal injury caused by our negligence; (ii) fraud or wilful misrepresentation; (iii) defective products under Chapter VI of the Consumer Protection Act, 2019; or (iv) any liability that cannot be excluded by law in India.

INDEMNIFICATION

You agree to defend, indemnify, and hold harmless [Company Name], its directors, officers, employees, agents, licensors, and successors from and against any claim, demand, loss, damage, cost, or liability (including reasonable legal fees) arising out of or relating to:

  • Your breach of any provision of these Terms or any applicable law or regulation;
  • Your violation of any third-party rights, including intellectual property rights or privacy rights;
  • Your use of the Platform for any fraudulent, illegal, or unauthorised purpose;
  • Any content you submit to the Platform that is false, defamatory, or infringing;
  • Any misuse of Products purchased from the Platform in a manner that causes harm to third parties.

  • Negotiation First: In the event of any dispute, the parties agree to first attempt good-faith resolution through direct negotiation. You are encouraged to contact our Grievance Officer (Clause 18) before initiating any formal legal proceedings;
  • The Courts of New Delhi shall have exclusive jurisdiction in all the disputes arising herin.

MODIFICATIONS TO TERMS

The Company reserves the right to amend, update, or replace these Terms at any time to reflect changes in applicable law, regulatory requirements, business practices, or Platform functionality.

  • Material changes to these Terms will be communicated to registered users via email at least 14 days prior to the effective date of the change;
  • Non-material changes (such as clarifications, formatting updates, or correction of typographical errors) may be made at any time without prior notice;
  • Your continued use of the Platform after the effective date of any amendment constitutes your acceptance of the revised Terms. If you do not agree with the amended Terms, you must immediately discontinue using the Platform and may request account deletion;

Miscellaneous Provisions

  • Entire Agreement: These Terms, together with the Privacy Policy, Return & Refund Policy, Shipping Policy, Cookie Policy, and Warranty Policy, constitute the entire agreement between the parties and supersede all prior negotiations, representations, or agreements relating to the subject matter hereof;
  • Severability: If any provision of these Terms is found to be invalid, unlawful, or unenforceable by a court of competent jurisdiction, that provision shall be severed and the remaining provisions shall continue in full force and effect;
  • No Waiver: Failure by the Company to exercise or enforce any right under these Terms shall not constitute a waiver of that right. A waiver of any specific breach shall not be deemed a waiver of any future breach;
  • Assignment: You may not assign or transfer your rights or obligations under these Terms without our prior written consent. The Company may assign its rights and obligations to any successor entity arising from a merger, acquisition, or restructuring, provided that such assignment does not adversely affect your consumer rights;
  • Language: These Terms are executed in the English language. In the event of a translation into any other language, the English version shall prevail;
  • Electronic Communication: You consent to receive communications from the Company electronically via email, SMS, WhatsApp notifications, or through the Platform. Such communications satisfy any legal requirement that notices be in writing;
  • Relationship of Parties: Nothing in these Terms creates or implies any partnership, joint venture, agency, employment, or franchise relationship between you and the Company;
  • Headings: Clause headings are for convenience only and shall not affect the interpretation of these Terms.
